RISK FACTORS

Return

Is this product right for you?

Yes, I am happy to invest because:

• I want my original capital to be repaid in full at maturity, provided I leave it invested for the investment term

• I am interested in the prospect of  what might be a higher return than that received from a deposit account

• I consider the defined rates to be a good prospective return for me

• It suits me that this Plan should be taxed as capital gain rather than income and I want the option of potentially using my Capital Gains Tax annual exemption

• I also have the option to invest via a Stocks and Shares ISA

No, this plan probably isn’t right for me because:

• I might need access to some or all of my money before the end of the  chosen term, especially in the case of unexpected emergencies, and cannot risk getting back less than I invested if I sell the investment early

• I am not prepared to take the risk that the Issuer, Barclays Bank PLC, might not be able to repay my capital and pay any return due to me at maturity

• I don’t want to risk earning no return on my investment or less than I could have earned in the same period in a deposit account

• I don’t want to give up the dividends I might get if I invested in shares or similar investments

• I understand that I will not be paid or receive any income or other benefit before the end of the investment term

Important Information

• The Plan is designed for investors who can leave their capital invested for the full term. You can instruct us to sell the Investment in your Plan before maturity but, if you do, then you may get back less than you originally invested, particularly in the earlier years of the investment.

• Repayment of your capital and payment of any return will depend on the ability of Barclays Bank PLC to repay the capital and pay any return. Barclays Bank PLC, the Issuer, is rated ‘AA-’ by Standard and Poor’s and ‘Aa3’ by Moody’s (16 February 2010). If the Issuer is unable at maturity, to repay the capital, or pay a return, you will receive less than is due to you or nothing at all. (See the ‘What other risks are there?’ section of the plan brochure for more details).

• The Plan is not a deposit account. All the Plan’s benefits are paid at the end of the investment term. No income or other benefit is paid before then. Unlike a deposit account, the Plan is not covered by the Financial Services Compensation Scheme (see ‘Your questions answered’ section for further details). If Barclays Bank PLC were unable to pay the benefits and repay capital due to you, you would not have a claim under the scheme.

• Remember, that the starting level of the Plan is the closing level of the Index on 17 May 2010 and not the level of the Index when your Application Form is received. Please be aware  that the level of the Index may vary between these two dates.
